REGULATIONS OF THE ONLINE SHOP “FILLORA.STORE” (B2B)
1. Definitions

Regulations – these Regulations, determining the principles of concluding Distance selling contracts through the Internet Shop between entrepreneurs (B2B transactions), the principles of performing these contracts, the rights and obligations of the parties and the principles of complaint proceedings.

The Client (Buyer) – a natural person operating a sole proprietorship, a legal person, or an organizational unit without legal personality, which the law recognizes as having legal capacity, who concludes a Distance Selling Contract with the Seller strictly for professional and business use. The services and Goods in the Online Shop are intended exclusively for professional use, and consumers are not authorized to make purchases.

Online Shop – an Internet service run by the Seller, available at the electronic address: fillora.store.

Distance selling contract – a contract for the sale of Goods concluded through the Online Shop between the Seller and the Client.

The Goods – a movable item (including medical devices, fillers, and professional cosmetic products) that the Client may purchase in the Online Shop.

Account – a set of data stored in the Online Shop ICT system concerning a given Client, enabling the placement and management of orders.
2. General provisions

These Regulations apply exclusively to commercial contracts concluded between the Seller and Clients acting directly within their business or professional activity (B2B).

The Seller explicitly excludes the possibility of concluding contracts with Consumers within the meaning of Article 22(1) of the Polish Civil Code. By placing an order, the Client declares that the purchase is of a strictly professional nature resulting from the subject of their business activity.

The contents, including descriptions of Goods and prices on the website, constitute an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code and become binding only when the Client sends an order by clicking the final order button.

To ensure communication security, the Online Shop undertakes appropriate technical and organizational measures to prevent unauthorized data access.
3. Orders and Verification

Placing an order requires providing a valid VAT ID (NIP / EU VAT) and business registration details.

The Seller reserves the right to verify the Client’s professional credentials at any stage. The Seller may request the Client to provide documented proof of their qualifications (e.g., medical license, cosmetology certificate, or relevant PKD codes). If the Client fails to provide such proof, the Seller has the right to cancel the order immediately.

To place an order, the Client must add Goods to the basket, fill out the form, accept these Regulations, and click the “Order with obligation to pay” button. This action constitutes a binding declaration of will to conclude a Distance selling contract.

Until the Seller begins the execution of the order, the Client may request a change or cancellation of the order, which requires explicit confirmation by the Seller via e-mail.

The standard order processing time is up to 2 working days from posting the payment. The maximum lead time for the order shall not exceed 7 working days.
4. Payment

The Online Shop operates primarily on a prepayment basis.

Deferred payment options are only available upon individual, written, and separate agreement with the Seller.
5. Delivery

The Client selects the method of delivery during the order process. Shipping takes 24–48 hours from the moment the package is dispatched.

The Client is strictly obliged to inspect the package in the presence of the courier. Any missing items or physical damages must be documented via a damage protocol signed by the courier.

In the event that the Goods are not collected by the Client, resulting in their return to the Seller, the Seller may withdraw from the contract. The Client will be charged with all return shipping and re-storage costs.
6. Exclusion of Contract Withdrawal (No Returns)

Since the Online Shop sells exclusively to professional Clients for business purposes, the right to withdraw from a distance contract within 14 days without giving any reason is completely excluded.

All sales concluded through the Online Shop are final. The Seller does not accept returns of Goods, unless explicitly agreed otherwise by the Seller in writing.
7. Complaints and Limitation of Liability (Exclusion of Warranty)

Pursuant to Article 558 § 1 of the Polish Civil Code, the Seller’s liability under the statutory warranty for physical and legal defects of the Goods is entirely excluded.

Any complaints regarding quantitative discrepancies, wrong items, or visible defects must be reported to the Seller via email (info@fillora.store) no later than within 7 days from the date of receiving the package. Failure to submit a complaint within this period results in the unconditional loss of any future claims regarding that delivery.

In the event of a justified complaint, the Seller will, at its own discretion, either replace the defective item, repair it, or refund the price.

Limitation of Liability: The Seller’s liability for non-performance or improper performance of the contract, tort, or any other legal ground is limited exclusively to the net value of the specific order placed by the Client. The Seller shall not be liable for any lost profits (lucrum cessans), medical complications, or operational downtime of the Client’s clinic or salon.
8. Reviews and Opinions

Registered Clients who have actually purchased a specific item may post subjective evaluations and star ratings (1 to 5).

It is strictly prohibited to place untrue, misleading, vulgar, aggressive, or unfair competition content. The Seller reserves the right to block or delete any review that violates these rules.

By posting a review, the Client grants the Seller a non-exclusive, free of charge, perpetual, and worldwide license to use, publish, and modify the statement in all marketing channels, including the Internet.
9. Intellectual Property

All content, product photos, graphics, descriptions, and structural layouts on fillora.store are the exclusive property of the Seller and are protected under the Polish Act on Copyright and Related Rights.

The Client is not authorized to copy, reproduce, distribute, or modify any elements of the Online Shop without prior written consent from the Seller.
10. Final provisions

These Terms and Conditions are effective as of the date of their implementation.

If any provision of these Regulations is declared invalid or ineffective by a court decision, the remaining provisions shall remain fully in force.

The sole applicable law for resolving any disputes related to these Regulations or Sales Contracts is UE law.

Any disputes arising between the Seller and the Client shall be submitted exclusively to the common court having local jurisdiction over the registered seat of the Seller (Warsaw, Poland).
